Colton’s practice focusses on mergers and acquisitions, the acquisition and sale of commercial real property, secured debt financing, bankruptcy and insolvency and other corporate matters. Colton has worked with both public and private corporations in the construction, fishing, automotive, hospitality, and energy industries. Colton is a problem-solver who anticipates issues and solves them efficiently. Coming from a rural background, Colton uses his strong work ethic and practical attitude to understand and accomplish the goals of clients both large and small.
Colton has experience:
- Assisting with the acquisition of a large restaurant franchise by a public company which involved reviewing commercial leases and materials contracts, drafting ancillary documents, and compiling and organizing documents for closing.
- Assisting with a private placement offering by a public company of subscription receipts and convertible debentures, which involved reviewing subscription agreements and preparing private placement documentation and required regulatory filings.
- Assisting with the financing and acquisition of a portfolio of commercial real property, which involved reviewing title, preparing due diligence reports, and drafting security and other ancillary documents.
- Assisting with the buyout of the other shareholder of a large electronics company, including reviewing shareholders’ agreements and corporate records, as well as drafting various ancillary documents.
