Andrew is a trusted strategic advisor to business owners and executives, regularly engaged on high-value and time-sensitive matters involving mergers and acquisitions, equity and debt financings, corporate structuring, succession planning, regulatory compliance and shareholder dispute resolution. He also provides governance and transactional advice to not-for-profit organizations, including charities, government agencies, colleges and universities. In addition, Andrew frequently represents clients in complex commercial real estate matters – such as acquisitions, divestitures, development projects, commercial leasing and financing – and advises on wills and estates planning where corporate and personal interests intersect.

Representative mandates include:

  • Acting for a publicly traded company on the capital lease of a $200M+ commercial real property development;
  • Acting for a publicly traded company in the sale, development, and lease-back of a commercial real estate project exceeding $70M in value;
  • Acting for a major Canadian bank on the divestiture of a commercial real property portfolio;
  • Advising regional and national clients in the technology, energy, and manufacturing sectors on intricate corporate structuring and governance matters, as well as large-scale commercial and real estate transactions;
  • Serving as local counsel to U.S. and Canadian national law firms on significant mergers and acquisitions;
  • Acting for a group of veterinarians in the sale of multiple clinics for proceeds exceeding $10M;
  • Advising a construction company on a complex corporate reorganization and the implementation of a stock option plan to retain key employees;
  • Acting as counsel to major Canadian banks, alternative lenders, and provincial Crown corporations, assisting with commercial loans, syndications, and capital investments.
