Mark’s focus is on corporate and commercial law, including corporate reorganization, finance and acquisitions, with an emphasis on corporate income tax and estate planning. He works with national and international clients spanning wide-ranging industries to navigate to the best possible advantage in buying, selling or expanding a business. Mark advises private and public companies with national and international operations, and acts as Nova Scotia counsel to US-based multinationals on transactions involving acquisitions, mergers and hybrid-financing deals. His experience includes leadership on broad-scale corporate projects such as:

  • The sale by Empire Company Limited of its Empire Theatres business, comprising the sale of 46 theatres with 397 screens in Canada.
  • The sale of an international bottled water company to a multinational food corporation, including tax and corporate reorganization.
  • The reorganization, merger and initial public offering of a private Nova Scotia subsidiary to become one of only two national grocery retailers in Canada.
  • The reorganization of an Ontario-based, public Nova Scotia company with U.S. and Canadian operations which became the subsidiary of a newly-formed public Delaware-based corporation as the result of a merger.
