Cannabis Regulation

  • Helps clients interpret and stay aware of the shifting legal and regulatory landscape as they prepare for the legalization of adult-use cannabis.
  • Advises on regulatory compliance for licensed producers as well as applicants in the medical-use cannabis sector.
  • Assists with raising capital and structuring amalgamations and business transactions in the cannabis sector.
  • Drafts corporate agreements and documents specific to the cannabis sector and ancillary activities.

Securities Regulation

  • Assists clients with private placement capital raises and prospectus-exempt offerings of securities.
  • Prepares public company disclosure documents and filings.
  • Advises on exchange listing applications.

Corporate and Commercial

  • Negotiates and drafts key agreements ranging from Letters of Intent to Purchase Agreements.
  • Consults with start-ups from incorporation to IPO.
  • Facilitates the purchase and sale of corporations and corporate assets.
