Charlotte has experience advising and assisting with:

  • Personal information and data privacy compliance and cybersecurity, including:
    • drafting privacy policies for all types and sizes of organizations;
    • reviewing and drafting information security and data protection agreements;
    • advising clients on their compliance with relevant privacy legislation and best practices;
    • negotiating complex privacy provisions in commercial contracts;
    • assisting clients with personal information disclosure and privacy breach responses; and
    • preparing privacy impact assessments (PIAs) for federal government bodies.
  • Assisting in the acquisition, management, protection, and registration of intellectual property assets and portfolios, including:
    • assisting with the drafting of trademark applications, including conducting trademark searches and drafting goods and services statements;
    • coordinating client’s international trademark applications and registrations;
    • managing client’s trademark portfolios;
    • assisting with the response to trademark office actions, oppositions, and litigation;
    • advising clients on their use and protection of their intellectual property, including their brand, their products, and their trade secrets;
    • drafting confidentiality and non-disclosure agreements;
    • preparing, reviewing, and negotiating intellectual property licensing agreements;
    • transferring intellectual property assets from founders to their companies; and
    • supporting and advising on intellectual property strategy.
  • Advising advertising and entertainment clients, including:
    • reviewing scripts and rough cuts of theatre, television, and film productions;
    • drafting, reviewing, and negotiating licensing and production contracts in the television, film, and music industries;
    • assisting with the incorporation of production companies, land acquisition, and financing of various productions and their entities;
    • reviewing advertising copy, including legal disclaimers, to ensure the client and their assets are protected; and
    • advising the client on compliance with Canada’s Anti-Spam legislation.
  • The drafting, review, and negotiation of various technical commercial agreements for early stage start ups, SMEs, and large Canadian entities, including:
    • general terms and conditions / terms and conditions or use / terms and conditions of service;
    • master services agreements for various Software-as-a-Service, Platform-as-a-Service, and Infrastructure-as-a-Service products;
    • software and intellectual property licensing agreements, including end user licensing agreements;
    • software and platform / app subscription agreements; and
    • event sponsorship agreements.
  • The acquisition and disposition of part or all of the assets or shares of businesses, and the associated corporate records review, due diligence reporting, and financing work, including:
    • the multi-million-dollar acquisition of various regional, national, and international businesses;
    • small, local business acquisitions; and
    • the purchase and securitization of specific intellectual property assets, such as domain names, trademarks, patents, copyrights, and industrial designs.
  • The creation of new companies and the implementation and drafting of tax- and corporate governance-driven reorganizations, including:
    • the incorporation, amalgamation, continuance, and dissolution of limited companies across Canada;
    • advising early-stage start up companies from across the country on corporate structure and ownership options;
    • drafting and reviewing shareholders’ agreements;
    • the reorganization of existing companies pursuant to the Income Tax Act;
    • the redemption, repurchase, and issuance of shares and debt instruments; and
    • the return of capital and declaration of dividends.
